Terms of Service

These Terms govern your use of Tessa, a service provided by Lexifyr Technologies Pvt. Ltd., and describe account use, subscriptions, intellectual property, and dispute handling under Indian law.

1. Company and Acceptance of Terms

Tessa is operated by Lexifyr Technologies Pvt. Ltd., a company registered in Guwahati, Assam, India. By creating an account, accessing, or using the platform, you agree to be bound by these Terms and the Privacy Policy. If you are using the service on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Eligibility, Accounts, and Security

You must provide accurate registration details and keep account credentials confidential. You are responsible for all activities under your account, including team member access. You must promptly notify us of unauthorised access or suspected compromise.

3. Service Scope and Acceptable Use

You may use Tessa only for lawful business and creative operations. You must not use the service to violate applicable law, infringe rights of third parties, upload malicious code, bypass security controls, or generate prohibited content. We may suspend or restrict access where misuse, abuse, fraud, or security risks are identified.

4. Subscription, Credits, and Payments

Paid plans, usage credits, renewals, and add-ons are billed according to the plan you select. Unless otherwise stated in writing, fees are non-refundable and exclusive of applicable taxes, including GST where required. You are responsible for maintaining a valid payment method and for charges incurred by authorised users on your workspace.

5. Content, Intellectual Property, and Licence

You retain ownership of the content and assets you upload, subject to rights needed by us to host, process, secure, and provide the service. We retain ownership of the Tessa platform, including software, models, workflows, and associated intellectual property. You receive a limited, non-exclusive, non-transferable licence to use the service during your active subscription.

6. Availability, Warranties, and Liability

Tessa is provided on an “as is” and “as available” basis. While we take commercially reasonable measures to maintain reliability and security, uninterrupted availability is not guaranteed. To the maximum extent permitted by law, we disclaim implied warranties and limit liability for indirect, incidental, special, consequential, or punitive damages.

7. Termination

You may stop using the service at any time. We may suspend or terminate access for material breaches, prolonged non-payment, unlawful conduct, or security threats. Provisions relating to payment obligations, intellectual property, limitations of liability, and dispute resolution survive termination.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Subject to applicable law, courts in Guwahati, Assam shall have exclusive jurisdiction over disputes arising out of or relating to these Terms. Before initiating formal proceedings, parties agree to make reasonable good-faith efforts to resolve disputes through written notice and discussion.
